La construcción de la noción de empresa en la cultura jurídica de la Europa industrial

Desde el principio del siglo XIX las dinámicas organizatorias del capitalismo industrial
proyectan la empresa al centro del sistema económico. A la centralidad adquirida en la esfera
económica, sin embargo, no corresponde una equivalente consideración en la esfera jurídica. El
Code de commerce francés de 1807, destinado a infl uenciar la cultura jurídica europea a lo largo de
dos siglos, diseña un derecho a medida del individuo, sigue las lógicas simplifi cadoras del nuevo
orden, dedicándose al cambio y a la circulación, sin ninguna concesión a la dimensión colectiva
y compleja del fenómeno empresarial. Con la entrada en vigor, en 1900, del nuevo Código de
comercio alemán (HGB), el principal signo de reconocimiento del carácter mercantil llega a ser la
forma organizada del sujeto, punto de partida de un itinerario teórico a través del cual la doctrina
austroalemana acoge en el plano jurídico el concepto de «Unternehmen», paradigma funcional
para el nuevo derecho de la empresa del siglo XX The development of industrial capitalism, since the early 19th Century, projects the
enterprise, with its capacity to settle in an embracing organization the personal and patrimonial
elements of the production, into the centre of the economic system. Something different happens
in the legal sphere. The French Code de commerce of 1807, addressed to infl uence the European
legal culture throughout two centuries, follows the individualistic and simple logics of the new
order, not considering the complex and collective side of the entrepreneurial organization. In
1900 comes into effect in Germany the new commercial Code (HGB), according to which the
main feature of commerciality becomes the management of a business by means of an organized
structure. It could start, in the Austrian-German legal science, a theoretical itinerary focused on
«Unternehmen», on that complex paradigm which would have been, out of every simple and
atomistic perspective, congenial to the business law of the 20th Century
